Drafting and Review of Civil and Commercial Contracts

A contract should accurately describe the real transaction rather than merely repeat standard clauses. Legal review identifies unclear obligations, unbalanced risks and missing mechanisms for delay or non-performance.

Core Terms

We clarify the parties and authority to sign, subject matter, price and payment, deadlines, acceptance, warranties, liability, termination and dispute resolution. Commercial contracts also require consideration of business practice, general terms, tax and regulatory requirements.

Civil and Commercial Agreements

The subject may be services, works, supply, loan, agency, joint activity or another lawful obligation. The label is not decisive; rights and risks follow the substance. A civil contract should not disguise an employment relationship.

Amendments

An amendment should identify precisely which terms change and from what date. After several amendments, a consolidated text may avoid contradictions. We also check whether the original agreement requires a special form or prior consent.

Consultation

For review, provide the draft, all schedules and a short description of what the parties have agreed commercially.
