A Bulgarian non-profit association is a membership organisation pursuing activities for public or private benefit. Its objectives, the means for achieving them and membership rules must be clearly set out in its articles.
Formation
The founders adopt the articles, elect the governing bodies and resolve to establish the association. The required number of founders and applicable obligations depend on whether the organisation operates for public or private benefit.
Governance and Changes
Changes to the articles, management board, address, objectives or representation must be approved by the competent body in accordance with the rules on notice and voting. Minutes and notices are particularly important for registration and any later dispute.
Registration and Reporting
Non-profit legal entities are entered in the register maintained by the Registry Agency. Public-benefit organisations are subject to additional transparency and reporting duties. Business activity is permitted only where ancillary and connected with the organisation's principal objectives.
Consultation
We first clarify the objectives, members, governing bodies and planned activities.
