Changes to an EOOD or OOD take effect against third parties after registration where Bulgarian law requires it. Common changes include the manager, registered office, company name, business activities, capital, shareholders and distribution of shares.
Corporate Resolutions
A valid resolution by the competent body, either the sole owner or the general meeting, is required. We review notice, quorum, majority, form of the minutes and compliance with the articles. A defective resolution may lead to refusal of registration or an internal corporate dispute.
Transfer of Shares
Transfers between existing shareholders and transfers to a third party are subject to different requirements. The agreement must use the statutory notarial form. Admission of a new shareholder also requires the appropriate resolutions and applications. Declarations relating to employment remuneration and social-security liabilities are reviewed where applicable.
Commercial Register Filing
After the change, updated articles or an incorporation deed are prepared and the relevant circumstances are filed with the Commercial Register. A single change often requires several interdependent documents.
Consultation
Please provide the current corporate documents and a clear description of the intended change.
